About the application

VENDOR ACCEPTANCE: Vendors will be accepted upon final review by the event committee after the vendor deadline of January 26, 2023. All applicants (accepted and denied) will be notified within 7 days of final review. Vendor acceptance based on:
 • Complete application package, including application form, required photographs, and full payment • Product, quality and pricing
• Booth appearance and quality
• Committee’s preference for a broad variety of vendors
 • Event location and size (will dictate if multiple vendors selling the same product will be accepted) • Return vendor status and/or past vendor conduct • Date in which completed application was received by the City of Henderson.
 POWER REQUIREMENTS: Power will NOT be provided by the City, applicant must be fully self-contained with regards to power. Any generators, electrical cords and cord covering, any/all power equipment are to be supplied by applicant. All electrical appliances, including personal generators, spider boxes, cords and plugs, must be electrically sound, in good working condition, no smoke, no smog, no excessive sound.

GENERAL RULES & REGULATIONS
 1. Vendors may begin setup at 7:30am on Saturday, February 18, 2022. All vendors must complete setup and open for business no later than 9:30am. Tear down is not permitted to begin until 2pm at the close of the event.
 2. Vendors are responsible for their own booths, equipment, tables. Chairs. Etc.. setup and tear down. Spaces provided cannot be sublet or resold. Vendors must conduct business only in the space provided and not throughout the event area. If a vendor chooses to set up their personal tents(s), tents(s) must be properly weighted down. If a tent is deemed weighted improperly, event staff may request that the tent be removed. Vendor cannot us stakes to weigh down tent. Vendors are responsible for all personal property and animals brought onto City of Henderson property and agree to indemnify, defend and hold harmless the City of Henderson, its departments, agents, employees, elected officials, volunteers and/or representatives (collectively, “City Parties”) from and against any claims arising out of such vendor-owned or controlled animals and/or personal property. This obligation shall survive the expiration or earlier termination of this application.
3. Alcohol sales are prohibited unless prior approval is granted by the City of Henderson and proper liquor licenses are obtained. If alcohol is served by vendor, vendor is responsible for ensuring that no alcohol is served to minors under the legal drinking age.
4. Food and merchandise vendors shall collect State of Nevada sales taxes amounting to eight and one-quarter percent (8.25%) of gross sales. One-Time Sales Tax Return forms (the “Form”) can be obtained from the Department. • The Form must be completed by the vendor and returned to the Department event program coordinator, along with the payment for the sales tax, payable to the Nevada Department of Taxation, before leaving the event. • Vendor must submit the completed Form even if no taxable sales were made.
 • Vendor shall be liable for all penalties, interest and fees that may be imposed by any agency for the collection of said taxes.
• Nonprofit organizations claiming tax exemption must provide exemption letter from the Nevada Department of Taxation.
 5. In the event of inclement weather or other force majeure event beyond the control of the Department, the event may be canceled with no liability to the Department.
6. It is hereby expressly agreed and understood that vendor shall be deemed to be an independent contractor and not an agent or employee of any City Party. Vendor will not hold itself out as an agent, partner or co-venturer of any City Party, and this application is not intended to, and does not, create an agency, partnership, joint venture or any other type of relationship except the contractual relationship established hereby.
7. This application shall be governed and construed in accordance with the laws of Nevada, excluding its choice-of-law rules. Vendor agrees to submit to the jurisdiction of the state and federal courts located in Clark County, Nevada as the exclusive venue for the resolution of any disputes arising under or related to this application. In the event that any provision of this application shall be held to be invalid or unenforceable, the remaining provisions of this application shall remain valid and binding on the parties hereto. All modifications or amendments to this application are null and void unless in writing and signed by the Department.
