ELIGIBILITY OF VENDORS1. Eligibility is limited to businesses that have been reviewed and approved by the Sistahs in Business Expo (SIBEXPO). The Vendor agrees not to sell or display products or literature that is not a part of the products/services described in their initial application without prior approval and consent. The Vendor also understands and agrees that sharing of vendor spaces with other businesses/brands is not permitted. Sistahs in Business Expo reserves the right to deny participation to any company who violates these policies.PAYMENT INFORMATION2. All vendor fees are non-refundable and non-transferable. Payment is due in full upon approval of the application to secure the Vendor’s space. Signed agreements without full payment are null and void. Payments must be made via the credit/debit card provided at the time that the application is submitted.SPACE ASSIGNMENT3. Vendors are assigned spaces by The Sistahs in Business Expo team 5-7 days prior to the event. Vendors are not permitted to request a particular location. However, Vendors can select and pay an additional fee, at the time of their application, for a wall space with guaranteed electricity (until those spaces are sold out). Sistahs in Business Expo reserves the right to move a Vendor’s space location based on the needs of the Event regardless of whether a location is already assigned. SIBEXPO will establish setup hours and will make every effort to share this information with the Vendor 5-7 days prior to the event. SIBEXPO reserves the right to make any changes as it may deem appropriate in its sole and absolute discretion. Each vendor fee includes admission for two representatives of your business (wrist bands will be provided). All other guests must pay full admission by purchasing a ticket.EXPO FLOOR PLAN4. SIBEXPO reserves the right to rearrange the Expo Floor at any time. SIBEXPO also reserves the right to relocate Vendors should it become necessary for causes beyond the SIBEXPO’s control or advisable in the best judgment of SIBEXPO. INSTALLATION, DISMANTLING, AND OTHER ACTIVITIES5. Vendor’s space/booth will be fully set up and prepared to exhibit during all hours of exhibition set by Sistahs in Business Expo. Vendor may not dismantle their space/booth until the exhibition is closed to the public at the date and time so indicated by Sistahs in Business Expo. Vendor agrees explicitly that, in the event that Vendor fails to set-up on time and in their assigned spaces, or if Vendor fails to make any payment on time, SISTAHS IN BUSINESS EXPO has the right to take possession of Vendor’s space and lease it to another organization (including a competitive organization). The choice as to whether Vendor utilizes the services of a third party to help Vendor with various activities in connection with their space/booth, including assistance with setting up and/or removing shall be the Vendor’s own decision and at its own risk. In no event shall Sistahs in Business Expo be liable or responsible to Vendor in any way related to the actions or inactions of such third parties in their assistance of Vendor, including any negligence or other injuries (up to and including death) caused directly or indirectly by such parties. SPACE SIZE6. All vendor spaces are sized at 8’ x 8’. Vendor spaces are open-air and do not include any piping and draping. Vendors may not extend their display beyond the space provided and their display must not block or interfere with another vendor. STANDARD BOOTH EQUIPMENT7. All vendor spaces include one 6ft table and 2 chairs. Vendor’s must provide their own linens and all tables must be covered with table linen. Plastic tablecloths are not permitted. DISPLAY REGULATIONS8. No signage may be hung from the ceiling or walls. Retractable, pop-up, and banners on display stands are permitted. Only one additional table, no larger than 4 ft, can be added to the display area and must be in an L or T shape. No more than 2 clothing racks are permitted. All items must fit in the 8x8 space provided. The Vendor must receive prior approval for any other display furniture. No electricity will be provided or guaranteed as part of the Vendor’s agreement. However, if the Vendor would like to have a space along the wall where access to power is guaranteed, the request must be made at the time of the application and an additional fee will be assessed.CANCELLATION OF EXPO9. It is mutually agreed that this agreement shall terminate and Vendor shall waive any claim for damages or compensation against Sistahs in Business Expo, its officers, directors, agents or employees if— because of any cause(s) beyond the control of a party, such as but not limited to; an act of God; war; riot; civil strife; civil or public disorder; protests; act of terrorism, domestic or foreign; governmental rule, regulation or decree; flood, fire, hurricane, tornado, or other casualty; earthquake; strike, lockout, or other labor disturbance; the unavailability of labor or materials to the extent beyond the control of the party affected; pandemics, epidemics, local disease outbreaks, public health emergencies, government imposed quarantines, recognized health threats as determined by the World Health Organization, the Centers for Disease Control, or local government authority or health agencies (including but not limited to the health threats of COVID-19, H1N1, or similar infectious diseases); low registration; curtailment of transportation facilities, or other similar occurrence beyond the control of the parties—the Event, or any part of the Event, is prevented from being held or is canceled by the Sistahs in Business Expo or the space becomes unavailable. There shall be no further liability on the part of either party. Sistahs in Business Expo reserves the right to cancel or postpone any portion of the exhibit/Event schedule as it deems necessary and appropriate. All changes and/or postponements/cancellations will be communicated in writing. If Sistahs in Business Expo, in its sole discretion, determine to postpone the event, the fees paid by the vendor will be applied to the new date or to a Sistahs in Business Expo in another city where space is available. TERMINATIONS/REDUCTIONS10. Sistahs in Business Expo may take possession of Vendor’s space and terminate Vendor’s participation in the Event upon Vendor’s failure to meet any obligations under the agreement, including, but not limited to, Vendor’s failure to: (i) pay for the total fee or other related services prior to the Event, (ii) set up its exhibit prior to the start of the Event, (iii) maintain all exhibited products in good working order, or (iv) staff the space fully and in a timely manner. All cancellations or reductions of space by Vendor must be submitted in writing to the Sistahs in Business Expo via email and are considered final. Notifications received at least 30 calendar days prior to the event will be entitled to have their Vendor fee applied to any future Sistahs in Business Expo event in any city where space is available in the vendor’s category. Vendors who cancel their space less than 30 calendar days prior to the event, or fail to occupy their assigned space, i.e. no-show, will not be eligible to have their fee applied to a future event. All vendor fees are non-refundable. RENTAL, SALE, SUBLETTING OR ASSIGNMENT OF EXHIBIT11. The space applied for is to be used solely for the Vendor whose name appears on the Agreement. Only the Vendor name which appears upon the face of the Agreement may be used to identify the leased space at the Expo and in all official Vendor listings. The Vendor will not assign, share, sublet or sublicense any part of the space. Vendor will not rent, sell, assign, share, sublet or sublicense to a third party any of Vendor’s space. No firm or organization not assigned exhibit space will be permitted to solicit business within the exhibit area in general and within Vendor’s booth in particular. Third-party personnel may not tarry in Vendor’s booth as Vendor’s invited guests without Sistahs in Business Expo’s written consent, which Sistahs in Business Expo may grant or withhold at its sole discretion. Should Sistahs in Business Expo consent to third-party personnel, said personnel must wear the same logo-identified clothing as Vendor’s personnel. Vendor is solely responsible for the actions of any third-party personnel brought into Vendor’s booth. USE OF SPACE12. Vendor will observe all laws, policies, rules, regulations and directives from Sistahs in Business Expo regarding noise levels, lights, entertainment, appropriate dress, and any other activities of Vendor’s personnel. Vendor agrees to comply with all fire regulations and to keep aisles clear at all times including during Vendor’s set up period. Music is not permitted at vendor spaces. Any other noises, lighting, and booth activities must not interfere with other Vendors and may be prohibited, regulated or relocated. Sistahs in Business Expo reserves its rights to enforce (on behalf of itself or the venue) any violation of these provisions or applicable laws. Vendor and all personnel under Vendor’s control will wear the official conference wristband/badge at all times. The Vendor will not conduct any demonstrations, presentations, make solicitations, display materials, or conduct other activities outside Vendor’s exhibit space. Vendor will not bring or distribute alcoholic beverages or other food and beverages in the exhibit hall or Vendor’s booth area without first obtaining Sistahs in Business Expo’s prior written approval. Sistahs in Business Expo may refuse permission to exhibit any products or services Sistahs in Business Expo deems objectionable, unsuitable or inconsistent with the goals of the Event. Vendor assumes full and sole responsibility for property damage (including any loss of its equipment or proprietary information), personal injury or death to any party, by reason of occurrences at or related to any such functions conducted by it. Persons visiting, viewing or otherwise participating in Vendor’s Event space are deemed the invitees or licensees of Vendor and are not the invitees or licensees of Sistahs in Business Expo. Sistahs in Business Expo reserves the right to approve any and all Vendor activities to which Event attendees are invited, including, but not limited to, distribution of promotional materials, signage, and private Vendor functions. The choice as to whether Vendor utilizes the services of a third party to help Vendor with various activities in connection with their space/booth, including assistance with setting up and/or removing shall be the Vendor’s own decision and at its own risk. In no event shall Sistahs in Business Expo be liable or responsible to Vendor in any way related to the actions or inactions of such third parties in their assistance of Vendor, including any negligence or other injuries (up to and including death) caused directly or indirectly by such parties. LIABILITY AND INDEMNIFICATION13. Vendor agrees to defend, indemnify and hold harmless Sistahs in Business Expo and its affiliates, subsidiaries, licensee, distributors, officers, agents, employees, members and successors and assigns, from and against any and all judgments, actions, fines, losses, claims or damages, expenses or liabilities, including reasonable attorneys’ fees, arising out of: (i) Vendor’s construction or maintenance of an exhibit including any condition, defective or otherwise, of any apparatus, equipment or fixtures furnished by the Vendor in connection with its exhibit; (ii) any act, omission, negligence or willful misconduct of Vendor or its agents, (iii) any actual or alleged claims that any laws, rules or regulations were violated or any person or property was damaged or injured (including, without limitation, death) at the Event or in connection with activities associated with the Event; due to the actions of the Vendor or its agent, whether direct or indirect; (iv) any claim that the Vendor Marks (defined below) misappropriate, violate or infringe any third party rights, including, without limitation, patents, copyrights, trademarks, service marks, trade names or domain names; and/or (v) Vendor’s breach or alleged breach of its agreements made hereunder, which indemnification obligations shall survive the expiration or termination of the Agreement. Vendor shall be fully responsible to pay for any and all damages to property owned by the venue, its owners or managers, which results from any act or omission of Vendor. The Vendor assumes the entire responsibility for and hereby agrees to protect, indemnify, defend and hold harmless the Sistahs in Business Expo, its owners, managers, officers or directors, agents, employees, subsidiaries and affiliates against all claims, charges, losses and damages to persons or property, governmental charges or fines and attorney’s fees arising out of or caused by the Vendor, or their employees’ or agents’ installation, removal, maintenance, occupancy or use of exhibit premises or a part thereof. Vendor’s liability shall include all losses, costs, damages, or expenses arising from or out of or by reason of any accident or bodily injury or other occurrences to any person or persons, including the Vendor, its agents, employees, and business invitees which arise from or out of the Vendor’s occupancy and use of the exhibition premises, the hotel or any part thereof. The Vendor expressly releases Sistahs in Business Expo and all aforementioned individuals from any and all claims for such loss, damage or injury. Sistahs in Business Expo shall not be responsible for the security of Vendor’s equipment or proprietary software or hardware information. This limitation of liability applies to equipment for use in the exhibit area, general session, conference sessions, and any other conference rooms or facilities. It is Vendor’s responsibility to maintain proper insurance coverage for its property and liability. FURTHER, IN NO EVENT SHALL SISTAHS IN BUSINESS EXPO BE LIABLE TO VENDOR FOR ANY SPECIAL, INDIRECT, RELIANCE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, LOST OR DAMAGED DATA, LOST PROFITS OR LOST REVENUE, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF SISTAHS IN BUSINESS EXPO HAS BEEN NOTIFIED OF THE POSSIBILITY THEREOF. UNDER NO CIRCUMSTANCES WILL SISTAHS IN BUSINESS EXPO’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THIS AGREEMENT, REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED ONE THOUSAND DOLLARS ($1,000). THIS LIMITATION OF LIABILITY IS CUMULATIVE AND NOT PER INCIDENT. REPRESENTATIONS & WARRANTIES/OBSERVANCE OF LAWS14. Vendor agrees to abide by and observe all laws, rules and regulations, industry guidelines and ordinances of any applicable government authority and all rules of the Event facility, including, without limitation, any contest, sweepstakes, lottery and gambling laws for any promotions or giveaways offered at the Vendor’s space. Each party represents, warrants and covenants that it is duly organized under applicable law and that it has the right and authority to enter into and perform its obligations under this Agreement and to grant the rights granted in this agreement. Vendor represents, warrants and covenants that any and all materials created by it or its agents, including, without limitation, the Vendor Marks, will not contain any “Offending Material”, which is defined as: (1) material that defames Sistahs in Business Expo or any of Sistahs in Business Expo’s affiliates or products or is such that might reasonably reflect negatively on any of the same; (2) material that defames other Event Vendor(s), participant(s) or attendee(s) or any of abovementioned affiliates or products or is such that might reasonably reflect negatively on any of the same (3) content that infringes, misappropriates or violates any intellectual property right or any other right of any third party, including, without limitation, copyright, patent, trademark, moral rights, rights of publicity and privacy, false light, defamation and all other rights; or (4) content that is intentionally misleading, false advertising, offensive to the reasonable person or illegal. Vendor represents, warrants and covenants that it will be fully responsible for acquiring, at its sole cost, all licenses, permits, authorizations and insurance that may be required in order to legally conduct its activities at the Event.ASSUMPTION OF THE RISK 15. Because COVID-19 (including all variants) is extremely contagious and is spread mainly from person-to-person contact, Sistahs in Business Expo has put in place preventative measures to reduce the spread of COVID-19. However, Sistahs in Business Expo cannot guarantee that its vendors, participants, volunteers, partners, or others in attendance will not become infected with COVID-19. I acknowledge and understand the following:1. I am voluntarily participating as a Vendor. 2. Participation includes possible exposure to and illness from infectious diseases including but not limited to COVID-19. While preventative measures and personal discipline may reduce this risk, the risk of serious illness, permanent disability, personal injury, and death does exist;3. I knowingly and freely assume all such risks related to illness and infectious diseases, such as COVID-19, even if arising from the negligence or fault of the Released Parties; and4. I hereby knowingly assume the risk of injury, harm and loss associated with the Activity, including any injury, harm and loss caused by the negligence, fault or conduct of any kind on the part of the Released Parties.MARKETING AND PROMOTION16. To maximize the effectiveness of the event"s marketing campaign, Vendors are also responsible for promoting the event in their networks and circles. Vendors should publish event details on websites, email lists, Facebook, Instagram, and other social networks. Failure to do so would result in non-participation in future events.USE OF LIKENESS17. Vendor grants full permission perpetual and worldwide to Sistahs in Business Expo to use all names, photographs, videotapes or quotations in accounts and promotions in any medium.
