Event Terms and Cancellation Policy
The person or organization completing this application is hereafter referred to as the Exhibitor.
Folsom Street will reserve a space for the July 27, 2025 event upon our acceptance of the completed application submitted by the Exhibitor. Exhibitor acceptance and booth usage is at the discretion of Folsom Street. We reserve the right to deny any application for any reason. Booth spaces are 10’ x 10’ or 10' x 20' in size unless otherwise arranged through Folsom Street and noted in your application invoice. Booth space locations will be emailed to you on or around July 21, 2025.
PUBLIC HEALTH/SAFETY: Our guidelines regarding COVID-19 and all public health concerns are developed in cooperation with the City of San Francisco and are intended to create a safer space to gather. The guidelines may change as the date draws closer, and will meet or exceed any and all city and state requirements. Up Your Alley will offer hand washing/sanitizing stations and encourages touchless payment wherever possible.
SET-UP: The exhibitor understands that they will not be allowed into the fairgrounds until the assigned time of 7 or 8 AM. We do not provide refunds for no-shows. Set-up must be completed by 10:45 AM for fair opening at 11:00 AM. More information on Exhibitor check-in, such as location, will be provided with booth space assignments on or around July 21, 2025.
VEHICLES: The exhibitor understands that no vehicles will be allowed in or on the fairgrounds after 9:00 AM. Vehicles that are part of your installation must be preapproved by Folsom Street and meet SFFD guidelines. Exhibitors are responsible for finding parking outside of the fairgrounds during fair hours. After the fair the earliest that vehicles are allowed to enter the fairgrounds is 7:00 PM. THIS IS AN APPROXIMATE TIME AND IS DETERMINED BY SFPD. We cannot override the determination of SFPD. Please be patient when re-entering the fairgrounds.
BREAKDOWN: Breakdown will start no earlier than 6:00 PM and all materials must be completely disassembled. Exhibitor’s area must be completely cleaned no later than 7:30 PM.
CLEAN UP: All cardboard must be flattened and brought to the closest station for recycling along with other trash for sorting. No trash shall remain in an exhibitor booth space after an Exhibitor has left the fairgrounds. In the case that there is trash left behind, the Exhibitor team will document the trash and a cleaning fee of $250 shall be charged.
SPACE ALLOCATION USE: Presentation must be confined to the specified location and space size as set forth in its application and space permit. Nothing that extends beyond the allocated space is permitted.
The Exhibitor understands that this application is FOR SPACE ONLY, unless add-ons are ordered. Exhibitors will provide everything else such as booth structures, chairs, tables, batteries, clothes racks, merchandise displays, etc.
Generators and amplified sound equipment, including but not limited to stereos, loudspeakers, and bullhorns, of any kind are NOT permitted. NO ELECTRICITY IS AVAILABLE IN THE SPACE.
Exhibitors shall not sell or give away or otherwise distribute any product, food, drink or other item that is not specified in the Exhibitor’s application. Violation of this rule may result in immediate closure of the booth without refund or recourse.
The Exhibitor agrees to indemnify, hold harmless, and defend Folsom Street from all liability from loss, damage, or injury to persons or property in any manner arising out of, or incident to, their performance of this agreement, whether or not resulting from the negligence of the Exhibitor or its agents.
In the event that the fair is canceled or cannot take place for any reason prior to 30 days before the event, the participation fees (application fees) shall be returned, minus a 25% processing fee for any refund.
The fair will not be canceled less than 30 days prior to the scheduled date, except for extreme weather, natural disasters (including disease/virus epidemic or pandemic), or other reasons by valid order of governmental authorities beyond Folsom Street’s control. In the event that cancellation of the fair, less than 30 days prior to scheduled date, is caused by an “act of God” including but not limited to earthquake, storm, flood, fire, disease/virus epidemic or pandemic, terrorist act, riot, or by valid order of governmental authorities, Exhibitor shall not be entitled to a refund of sums paid to Folsom Street, and Folsom Street will not be held liable to the Exhibitor for any other damages.
Folsom Street reserves the right to refuse any Exhibitor’s participation in the fair at any time and for any reason. Acceptance of payment does not constitute acceptance of the Exhibitor’s application. Exhibitors that are not accepted will receive a full refund no later than August 15, 2025. If necessary, Folsom Street may eject an Exhibitor from the fairgrounds without reentry, and such Exhibitors will not receive a refund.
Refund requests must be submitted in writing to exhibitors@folsomstreet.org. Requests received on or before June 30, 2025 will be accepted subject to a 25% cancellation fee. No refunds will be given for requests received on or after July 1, 2025. Refunds will not be issued before August 15, 2025.
The Exhibitor agrees not to record, videotape, or take photographic images by any means for resale or profit while on the fairgrounds without the explicit prior written consent of Folsom Street. The Exhibitor agrees to use its space for display and/or sales of products or promotional materials only unless otherwise agreed upon.
The Exhibitor agrees not to sell any merchandise that violates the rights to publicity or privacy of any person or which violates the trademark, copyright, patent or design patent rights of any third party, or libels or slanders any third party or holds them in a false light. The Exhibitor will indemnify Folsom Street and hold Folsom Street harmless against any claims brought against Folsom Street based on third party liability for any such violations by the Exhibitor.
The Exhibitor is an independent contractor. The relationship between the Exhibitor and Folsom Street does not create a joint venture, partnership, agency or employee/employer relationship between the parties for any purpose, including, but not limited to, taxes or employee benefits. The Exhibitor will be solely responsible for payment of any and all wages, taxes, and insurance. This relationship shall not constitute a partnership between or joint venture by the parties or make either party the agent of the other. Neither party shall hold itself out otherwise nor shall either party become liable by any representation, act or omission of the other contrary to these provisions.
This Agreement shall be construed and interpreted pursuant to the laws of the State of California applicable to agreements entered into and fully performed in California. If any provision is deemed to be unenforceable as written it shall be modified so as to make it in its general interest, enforceable and as so modified shall form part of this Agreement. This Agreement and the schedules, exhibits and attachments constitute the entire agreement between the parties on this subject matter.

Exhibitors may use event names and logos in advertising their presence at the fair.
Under no circumstances and under no legal theory, tort, contract, or otherwise, shall either party or its affiliates or its suppliers or resellers be liable to the other party for any indirect, special, incidental, or consequential damages of any character including, without limitation, personal injury, damages for loss of profits, goodwill, work stoppage, or any and all other commercial damages or losses, even if a party has been advised of the possibility of such damages.
It is agreed that the undersigned Exhibitor shall accept the above conditions as well as accept sole responsibility for any and all acts, including “acts of God” that occur within the rented space. Folsom Street shall bear no responsibility for any and/or all loss including, but not limited to, consequential loss, general damage or punitive and exemplary damages sustained or caused by the participant(s), its agents or employees. Notice is hereby given that the Exhibitor shall provide its own insurance coverage.
BY ACCEPTING THIS AGREEMENT, THE EXHIBITOR AGREES THAT THEY CAN READ AND SPEAK ENGLISH WELL ENOUGH TO UNDERSTAND THIS AGREEMENT AND HAVE READ AND COMPREHEND THIS AGREEMENT COMPLETELY. THE EXHIBITOR ACCEPTS FULLY AND AGREES TO ADHERE TO ALL OF THE TERMS OF THIS AGREEMENT AS WELL AS TO COMPLY WITH ALL FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS.
YOUR ELECTRONIC SIGNATURE IS THE LEGAL EQUIVALENT OF YOUR SIGNATURE ON THIS AGREEMENT AND YOU CONSENT TO BE LEGALLY BOUND BY THIS APPLICATION'S TERMS AND CONDITIONS.
