PLEASE NOTE: SUBSTANTIAL DEVIATION FROM ITEMS DESCRIBED HERE OR AGREED UPON PRIOR TO THE FESTIVAL MAY RESULT IN LOSS OF VENDOR PRIVILEGES. THE OUT! RALEIGH PRIDE COMMITTEE RESERVES THE RIGHT TO RESTRICT TYPES OF ITEMS VENDED BASED ON FUND RAISING CONSIDERATIONS AND EXCLUSIVE RIGHTS PURCHASED BY SPONSORS, AS WELL AS RESTRICTIONS BASED ON SUITABILITY STANDARDS.
1. The Out! Raleigh Pride Festival Committee (“ORPFC”) operates under the auspices of the LGBT Center of Raleigh and is a tax-exempt 501c3 non-profit organization.
2. The ORPFC cannot guarantee the weather, the size of the crowd or otherwise assure against disaster. No refunds will be provided in the event an individual, organization or business does not realize its expectations for the festival. There is no rain date; the festival will take place rain or shine.
3. Noise, smoke, signs or visual displays are not to interfere with neighboring vendors or with the enjoyment of the attending public. ORPFC reserves the right to determine whether a vendor is in violation of this requirement and will require vendors to stop or remove offending displays or activities.
4. No Alcohol may be sold or given away.
5. Vendors are not to make substantial changes to the items, as listed on the application, which they plan to sell or give away without prior approval from the ORPFC.
6. Vendors are not permitted to offer face-painting services without prior approval.
7. Vendors are not permitted to sell items, fundraise, or distribute materials outside of their designated vendor space. Vendors will be asked to donate their proceeds if they are found in violation of this rule and will not be asked to return to the festival for one year.
8. Vendors can sell only items that are legal or have a legal use.
9. Vendors will not be allowed to move booth locations once a space has been assigned.
13. Vendors are not to sublet, share, assign, transfer or in any way give their space to anyone else.
14. Vendors are responsible for all sales taxes, licenses and insurance required by law.
15. Vendor's wares must be kept within their spot paid for. IE - no grocery carts, wheeled displays or other means of selling wares/services in a mobile fashion.
16. If chosen for both Friday and Saturday, vendors MUST break down on Friday evening and set up again on Saturday. Vendors cannot leave items on Fayetteville St overnight.
Hold Harmless Agreement: The undersigned agrees to protect, defend, indemnify and hold the Out! Raleigh Pride Festival Committee, LGBT Center of Raleigh, its officers, employees, contractors, volunteers and committee members free and harmless from any and all losses, penalties, damages, settlements, costs, charges, professional fees, or other expenses or liabilities of every kind and character arising out of or relating to any and all claims, liens, demands, obligations, actions, proceedings, or causes of action of every kind and character in connection with or arising directly or indirectly out of this agreement and/or respond to, provide defense for and defend any such claims, etc., at his/her/their sole expense and agrees to bear all other costs and expenses related thereto, even if it (claims, etc.) is groundless, false, or fraudulent. The Out! Raleigh Pride Festival Committee and the LGBT Center of Raleigh reserves the right to photograph vendors and attendees for publicity purposes.
