The terms and agreements laid out in this document pertain to the 2025 Spokane Pride Parade and Festival
Definitions:
Vendor agreement (herein referred to as Agreement)
Spokane Pride Parade and Festival (also referred to as Festival)
This agreement between you (hereinafter referred to as the “Vendor”) and Outspokane dba Spokane Pride (hereinafter referred to as the “Host”) shall commence on the completion of this contract (hereinafter referred to as the “Effective Date”) will be considered agreed and valid upon submission by both Host and Vendor.
Notices:
Any communication regarding changes to this Vendor Agreement must be done in writing and either sent by mail, email, or delivered in person. Should either of the Host or Vendor become aware of any issue that may postpone any part of the contract, they must inform the other side within five days in a written report that includes all relevant details.
Agreement:
Failure to follow any terms outlined in this Agreement may result in termination of partnership and loss of fees paid by the Vendor.
In consideration of the mutual promises and covenants in this agreement, the Vendor and Host further agree to the terms as follows:
The Vendor hereby agrees to supply the goods or services they provide and staff to manage assigned space, at the Spokane Pride Parade and Festival Current Hosting Venue. The Vendor agrees to follow the schedule that will be emailed and be posted on the Spokane Pride website no later than 7 days prior to the event, for loading in and out of the hosting venue of the Spokane Pride Parade and Festival. Vendor agrees to adhere to the venue hours of operation and designated load-in and load-out timelines. Vendor agrees to follow all rules set forth by the hosting venue.
Current Hosting Venue: Riverfront Park
Vendor agrees to complete the Qualified Vendor Program (QVP) mandated by Riverfront Park. Please go to https://spokanecity.wufoo.com/forms/vendor-registration-form-pride-mot79o00r4n25l/
Payment Terms and Conditions:
Food Vendors agree to provide an “event revenue pass on” sales report within 10 business days of the festival conclusion to pay Spokane Pride 10% of total sales revenue generated at locations rented by Spokane Pride for the Spokane Pride Festival locations within 30 days of the conclusion of the festival.

Payment must be received no later than 30 days after the event. A late fee of $100 per month will be assigned starting the 31st day after the conclusion of the event.
All other Vendors agree to pay Spokane Pride the amount listed in their selection of a booth size. Payment will be processed online with the application.
Spokane Pride reserves the right to refer any unpaid debts to receivables or debt collection.
Representation and Warranties:
The Host and Vendor warrant and represent full capacity and qualifications to abide by the terms and conditions of the Agreement. This Agreement is subject to the laws of Washington state, the City of Spokane, & the hosting venue. This Agreement will apply to the Host and Vendor during the entire duration of the event.
Liability and Indemnification:
Spokane Pride is not responsible for any losses or damages that occur to the Vendor’s property while the Vendor is traveling to, from, or attending the Pride Festival.
The Vendor will take responsibility and cover any losses or damages that Spokane Pride and its guests/volunteers or staff may acquire as a result of the Vendor’s negligent acts regarding Vendor’s presence, product, and/or services.
Insurance:
The Vendor is obligated to source suitable insurance for the duration of the contract will provide verification of such insurance to Spokane Pride. This proof will be provided to Spokane Pride no later than two weeks before the date of the event, and a copy will be kept by the Vendor on site, for the duration of the event. If the Vendor fails to provide proof of insurance Spokane Pride will treat this as a violation of the Vendor Agreement and it will be cause for termination with no refund of fees paid to Spokane Pride. All vendors including Standard Vendors, Food Truck Vendors, and Non-Profit Vendors at the event need to obtain and send Spokane Pride
A certificate of insurance with Outspokane DBA Spokane Pride listed as additionally insured to participate in the festival and/or parade.
General Liability Insurance: equal to or greater than $1,000,000 occurrence/$2,000,000 aggregate.
Auto Liability Insurance: Scheduled Auto or Hired and Non-owned equal to or greater than $1,000,000 csl.
Workers Compensation / Stop Gap: $1,000,000.

If you do not have insurance, Special Event coverage can be purchased.
Health & Safety Requirements:
The Vendor must have completed any and all applicable safety training, acquired all necessary permits, and meet all standards set forth by the Spokane Regional Health District, Spokane Fire Department, City of Spokane, Host Venue, and any other regulatory body not listed here.
Independent Contractor:
The Vendor will be regarded as an independently contracted entity. This Vendor Agreement does not generate an employer-employee tie between Spokane Pride and Vendor, and such an agreement will not be formed in the future.
Termination:
This Vendor Agreement can be terminated by either party with written notice to register@spokanepride.org.
The Vendor may terminate this Agreement with Spokane Pride, no later than 60 days prior the event for all fees to be refunded in full. Vendors who terminate this Agreement with Spokane Pride, in writing, within 60 days of the event will not receive a refund of fees.
If the Host cancels 60 days or more before the event date, Spokane Pride will have 30 days to return all fees.
Entire Understanding:
This Vendor Agreement, along with any required documents, shall be seen as the complete Agreement and shall supersede any previous agreements.
Legal Fees:
Any and all disagreements will be subject to arbitration first for an attempted resolution. Both Host and Vendor will be responsible for their own fees in regard to arbitration. In the event of any legal action, the victorious party is eligible to receive compensation for expenses such as lawyer fees, court costs, and transportation costs.
Application Submission:
By submitting this application, the Vendor confirms their familiarity with the conditions of operating with Spokane Pride, and pledges to adhere to these terms at all times.
