By submitting this application, I agree that Global Peace Film Festival and FusionFest can use the film I participate in to show in promotions for the festival(s) and related events in perpetuity. I understand that this is an Intent to Participate, and that I will be contacted if selected for the next phase. FOR GOOD AND VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, I, by submitting this form, hereby irrevocably agree, grant and consent to FusionFest, Inc., a Florida Not For Profit Corporation, and/or any of their respective licensees, assigns, successors, distributors, parents, subsidiaries or affiliated entities and each of their respective current and former employees, contractors, representatives, agents, officers, managers, members, partners, shareholders, and directors (collectively the “FusionFest”), the non-exclusive, royalty-free, universal and perpetual right to record, photograph (audiovisual, video or still), use, and to grant others the right to use, my actual or simulated name, likeness, appearance, performance, photograph, voice, biography, personal characteristics and other personal identifications, and the results and proceeds thereof, for and in connection with the “FusionFest” festival, and in any audiovisual work produced in connection therewith (collectively the “Festival”), for any of FusionFest’s business purposes in connection with the Festival (e.g., marketing materials, websites, social media, and all other forms of media), and for any other FusionFest audiovisual productions (including, without limitation, behind-the-scenes, trailers, the making of, etc.), and the right to reproduce, copy, modify, digitize, fictionalize, edit, create derivatives, or otherwise use the Festival or any part thereof in combination with or as a composite of other matter, and for the advertisement, promotion, marketing, publicity, display, performance, transmission, broadcast, distribution, exhibition and/or other exploitation thereof, including, without limitation, all commercial tie-ins, merchandising, and allied, ancillary and subsidiary rights therein, in any and all languages, technical formats, mediums and media now known or later devised. I further acknowledge and agree that FusionFest shall exclusively own all rights and copyrights in and to the Festival and to the results and proceeds of my appearance and services rendered hereunder, which shall constitute a “work made for hire” for the benefit of FusionFest. I forever waive all “moral rights” and “droit moral,” and other similar rights throughout the world. 2. I, by submitting this form, agree that the publicity and exposure that I will receive, if used in the Festival, constitutes valuable and complete consideration for the rights granted herein to FusionFest and that there shall never be payment of any monetary compensation to me of any kind whatsoever. I further represent that any statements made by me during my appearance are true, to the best of my knowledge, and that neither they nor my appearance will violate or infringe upon the rights of any third party. I hereby forever waive, discharge and release FusionFest from all liabilities and obligations to me of any kind or nature whatsoever, whether now known or unknown, arising out of or in connection with the exercise of the rights granted above, including, without limitation, from any liability for violation of rights of privacy, publicity, defamation, copyright infringement, character, or pecuniary interests or any other similar rights, and/or from any bodily injury, personal injury, negligence, sickness, illness, disease and/or viruses including, without limitation, COVID-19, disability, death, property damage or loss. I hereby indemnify and hold harmless FusionFest against all claims, actions, losses, damages, judgments and liabilities (including reasonable attorney’s fees and costs) resulting from any breach or alleged breach of this Agreement and/or from the spread of disease and/or viruses including, without limitation, COVID-19, whether caused in whole or in part by all forms of negligence, active or passive, of Company or otherwise. In no event shall I have any right to seek or obtain injunctive or other equitable relief in connection with the Festival or any other productions, or the production, distribution, performance, exhibition or other exploitation of the Festival, or the advertising, promoting or publicizing thereof. I agree that FusionFest shall not be obligated to utilize the authorized rights granted by me hereunder, or my name, image, or likeness. The terms of this authorization shall commence on the date hereof and shall be without limitation. This is the entire agreement and cannot be modified without written consent of all parties hereto. This Agreement shall be exclusively governed by and construed in accordance with the laws of the State of Florida, and Orange County, Florida shall be the venue and jurisdiction for any action, state or federal. This Agreement shall be binding upon, and inure to the benefit of, the parties and their respective heirs, executors, successors and assigns. FusionFest has the exclusive right to transfer and assign the rights under this Agreement, in whole or in part, in its sole discretion to any other person or entity. 3. I warrant to FusionFest that I am at least 18 years of age and have the full, complete and unrestricted right and authority to enter into this Agreement. I represent that I am not a professional actor and I am not a member of member of SAG-AFTRA or any other guild or union associated with the performing arts, or if I am a member of any such guild or union, I warrant that such guild or union does not require payment for the appearance described herein.
