Sponsorship Terms and Conditions
These Sponsorship Terms and Conditions govern the sponsorship of the "East Meets West: A Celebration of AAPI Heritage" event organized by Made with Max LLC. By entering into a sponsorship agreement, the Sponsor agrees to the following terms and conditions:
1. Sponsorship Benefits:
The Organizer agrees to provide the Sponsor with the sponsorship benefits as outlined in the Sponsorship Proposal or Agreement.
* Specific Sponsorship Benefits, such as logo placement, speaking opportunities, and booth space, will be detailed in the individual Sponsorship Agreement.
* The Organizer reserves the right to make reasonable modifications to the Sponsorship Benefits due to unforeseen circumstances, provided that any modifications do not significantly diminish the value of the agreed-upon benefits.
2. Sponsorship Fee and Payment:
* The Sponsor agrees to pay the sponsorship fee as outlined in the Sponsorship Agreement.
* Payment schedule will be detailed in the Sponsorship Agreement.
* All payments shall be made in Eventeny.
* If payment is not received by the agreed-upon date(s), the Organizer reserves the right to withhold Sponsorship Benefits.
3. Use of Logos and Trademarks:
* The Sponsor grants the Organizer a non-exclusive, royalty-free license to use the Sponsor's name, logo, and trademarks for the purpose of promoting the Sponsor's participation in the Event.
* The Organizer agrees to use the Sponsor's Marks in accordance with the Sponsor's brand guidelines, if provided.
* The Organizer makes no claim of ownership to the Sponsor's Marks.
* Similarly, the Organizer's name, logo, and trademarks cannot be used by the sponsor unless written permission is granted.
4. Sponsor Obligations:
* The Sponsor agrees to provide all necessary materials (e.g., logos, advertisements) required for the fulfillment of the Sponsorship Benefits in a timely manner and in the specified format.
* The Sponsor is responsible for any costs associated with their participation in the Event, other than those specifically covered by the Sponsorship Benefits (e.g., booth setup costs, travel expenses).
* Sponsors must conduct themselves in a professional and respectful manner at the event.
5. Indemnification:
* The Sponsor agrees to indemnify and hold harmless the Organizer, its officers, directors, employees, and volunteers from any and all claims, liabilities, losses, damages, and expenses (including attorney's fees) arising out of or relating to the Sponsor's participation in the Event, except to the extent caused by the Organizer's gross negligence or willful misconduct.
* The Organizer agrees to indemnify and hold harmless the Sponsor from any and all claims, liabilities, losses, damages, and expenses (including attorney's fees) arising out of or relating to the Organizer's gross negligence or willful misconduct in connection with the Event.
6. Limitation of Liability:
* To the maximum extent permitted by law, the Organizer's liability to the Sponsor for any claim arising out of or relating to this Agreement or the Event shall be limited to the amount of the Sponsorship Fee paid by the Sponsor.
* In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
7. Event Changes or Cancellation:
* The Organizer reserves the right to make changes to the Event schedule, location, or format due to unforeseen circumstances.
* If the Event is canceled by the Organizer, the Organizer will make a reasonable effort to provide the Sponsor with alternative Sponsorship Benefits or a refund of a portion of the Sponsorship Fee, depending on the circumstances.
* The Organizer shall not be liable for any costs incurred by the Sponsor in connection with the Event, such as travel or accommodation expenses, in the event of cancellation or changes.
8. Term and Termination:
* This Agreement shall become effective upon the date of signing by both parties and shall continue until the completion of the Event, unless terminated earlier as provided herein.
* Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 10 days of receiving written notice of the breach.
* the Sponsor engages in any conduct that is harmful to the reputation of the Organizer or the Event.
9. Force Majeure:
* Neither party shall be liable for any failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, civil unrest, natural disasters, or government action ("Force Majeure Event").
* In the event of a Force Majeure Event, the affected party shall promptly notify the other party and make reasonable efforts to mitigate the effects of the Force Majeure Event.
10. Governing Law:
* This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State].
11. Dispute Resolution:
* Any dispute arising out of or relating to this Agreement shall be resolved through good faith negotiations between the parties.
* If a resolution cannot be reached through negotiation, the parties agree to mediate the dispute in Orlando, FL before resorting to litigation.
12. Entire Agreement:
* This Agreement, including any attached exhibits or schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
13. Amendments:
* No amendment or modification of this Agreement shall be effective unless it is in writing and signed by both parties.
