Board Chair Position Overview
The board chair oversees board affairs, ensuring the integrity of the board’s process in governing and supporting the organization. The chair acts as the representative of the board as a whole.
Key Responsibilities
During board/committee meetings
Facilitate board/committee meetings and encourage strategic discussion
Create board meeting agendas
Review agenda and supporting materials before board and committee meetings.
Engage the board in strategic planning and program evaluation
Appoint committee leaders
Serve as a board representative on committees
Outside of board meetings
Lead the board in governing the organization
Assume ultimate responsibility for the integrity of the organization's finances, working with appropriate board members and committees to oversee the organization's budget and ensure resources
Lead a comprehensive board assessment annually
Mentor incoming board members
Attend all board and committee meetings and functions, such as special events
Be informed about the organization’s mission, services, policies, and programs
Serve on committees or task forces and offer to take on special assignments.
Suggest possible nominees to the board who can make significant contributions to the work of the board and the organization
Oversee the board election process
Keep up-to-date on developments in the organization’s field
Follow conflict-of-interest and confidentiality policies
Participate in finding sponsorship opportunities and fundraising activities
Oversee the appointment of Faire management positions
Cultivate strong partnerships with board members, Committee leaders, Management, and membership
Play a leadership role in community relations
Cultivate relationships with individual donors, funders, and other key community stakeholders.
Speak for the board in the event of a controversy or crisis
Keep up-to-date on developments in the organization’s field.

Board Secretary Position Overview
The board secretary helps oversee board affairs, ensuring the integrity of the board’s process in governing and supporting the organization. The board secretary is an active conduit for communication between the board, management, and members, by giving proper notice of any meetings and timely distribution of materials such as agendas and meeting minutes.
Key Responsibilities
During board/committee meetings
Record and distribute meeting minutes
Maintain accurate records
Update Calendar with pertinent information
Assume responsibilities of the chair in the absence of the board chair and vice chair
Review agenda and supporting materials prior to board and committee meetings
Serve as a board representative on committees
Outside of board meetings
Lead the board in governing the organization
Maintain organization's Google Workspace
Serve as a governance coach or advisor to the board on their processes
Be acquainted with the bylaws and have access to them
Ensure the organizational records are maintained according to the law and are available upon request by authorized board members or executive management
Bylaws, Articles of incorporation, up-to-date records of; Membership; board minutes; financial reports; other important documents

Board Vice Chair Position Overview
The board vice chair helps oversee board affairs, ensuring the integrity of the board’s process in governing and supporting the organization. The Vice Chair shall serve in the Chair's place in the event the Chair is unable to serve or perform duties delegated to the Chair. The Vice Chair may have such additional duties as delegated to him or her by the Board of Directors or the Chair
Key Responsibilities
During board/committee meetings
In the absence of Chair, coordinates facilitation of board meetings, ensures agendas and minutes are distributed, and implements the strategic plan
Performs other responsibilities as assigned by the board
Provides leadership and direction to the Board of Directors
Ensures transparent communication between all Board members
Helps guide and mediate Board actions with respect to organizational priorities and governance concerns
