Board Secretary Position Overview

The board secretary helps oversee board affairs, ensuring the integrity of the board’s process in governing and supporting the organization. The board secretary is an active conduit for communication between the board, management, and members, by giving proper notice of any meetings and timely distribution of materials such as agendas and meeting minutes.

Key Responsibilities

During board/committee meetings 

Record and distribute meeting minutes

Maintain accurate records

Update Calendar with pertinent information

Assume responsibilities of the chair in the absence of the board chair and vice chair

Review agenda and supporting materials prior to board and committee meetings

Serve as a board representative on committees

Outside of board meetings

Lead the board in governing the organization

• Maintain organization's Google Workspace

• Serve as a governance coach or advisor to the board on their processes

• Be acquainted with the bylaws and have access to them

• Ensure the organizational records are maintained according to the law and are available upon request by authorized board members or executive management

• Bylaws, Articles of incorporation, up-to-date records of; Membership; board minutes; financial reports; other important documents

• Be informed about the organization's mission, services, policies, and programs

• Keep up to date on developments in the organization's field

• Follow conflict of interest and confidentiality policies

• Cultivate relationships with individual donors, funders, and other key community stakeholders

   

  Advise the board in the event of the controversy or crisis

  • Keep up to date on developments in the organization's field

  • Mindfully help choose who our nonprofit partners will be each year
